Terms and conditions
1. Definitions
1.1 "Affiliate Agreement" - The Ready to Send agreement into which you are about to enter (i.e. these terms and conditions)
1.2 The "Affiliate", "You", "Yourself" and "Your" - means the individual or organisation wishing to join the Ready to Send web-site
1.3 "We", "Us" and "Our" - means Ready to Send
1.4 "This site" and "Our Site" - means the web site located at http://www.readytosend.co.za or https://www.readytosend.co.za or http://www.servicewithasmile.co.za or https://www.servicewithasmile.co.za
1.5 "Services" - means any services offered by Ready to Send! that you have selected
1.6 "Account" - means the account that will be created for you when you join this site

2. Involved Parties
2.1 The agreement is between Yourself and Us
2.2 No other parties will be involved in the "Affiliate Agreement"

3. Our responsibilities
3.1 To ensure that the site (and the data you enter in the site) is protected under a valid Secure Certificate at all times
3.2 To ensure that all services requested have been processed on the within 1 day of the appropriate date
3.3 To facilitate the processing of all applications
3.4 Billing
3.4.1 To automatically and timorously produce an invoice for your account which will be emailed to you
3.4.2 To keep a record of accounts, payments, cancellations and processing
3.4.3 To automatically bill your credit card with the accumulated fee reflected on the invoice on a monthly basis.
3.5 Exclusivity 3.5.1 To ensure that all clients marked as exclusive in a campaign remain exclusively yours unless you fail to meet any of your responsibilities as listed in section 4.
4. Your responsibilities
4.1 To ensure that all data entered into the system is valid and correct
4.1.1 Invalid email addresses or cell numbers entered can result in no communication with your clients or you
4.1.2 You are billed for every transaction initialised (see 5.2)
4.2 To ensure that the your credit card has sufficient funds to meet the monthly invoice (see 5.1 for more details)

5. Billing details
5.1 Your account will be billed for the full invoice amount on the first working day of each month.
5.1.1 The invoice consist of a consolidation of all emails sent, and will include the fee for exclusivity of clients should that apply. 5.2 You are billed for each initialised transaction:
5.2.1 If the transaction details you provided are incorrect and the sms or email is returned undelivered, your will still be billed for the attempt.
5.3 Should the transaction made against the credit-card details you provided fail due to lack of funds the following conditions apply:
5.3.1 The fee incurred by the failed debit will be borne by you
5.3.2 Should you wish to cancel your "Account" at this stage:
5.3.2.1 A final invoice for all outstanding services will be submitted to you
5.3.2.2 You agree to pay the full amount within 2 (two) weeks of receipt of invoice
5.3.2.3 No further services will be provided to you until you re-join our site
5.3.3 Should you not wish to cancel your "Account":
5.3.3.1 Contact Us on +27 (11) 869 8782 for further instructions

6. Indemnity
6.1 You will indemnify and keep indemnified Ready to Send against all damages, losses, compensation or expenses arising from any legal dispute occuring as a result of direct or indirect use of this site.

7. Termination and Cancellation
7.1 For security reasons, cancellation or termination of the "Affiliate Agreement" by the "Affiliate" can only be done by:
7.1.1 Contacting us on +27 (11) 869 8782; and
7.1.2 Sending a confirmation email from the email address registered in the site as your own.
7.1.3 NOTE: Without both 7.1.1 and 7.1.2, your account WILL NOT BE CANCELLED.
7.2 Cancellation or termination of the affiliate agreement by us can occur at any stage and without prior communication with you.
7.2.1 Causes of termination by us may include (but are not limited to):
7.2.1.1 Mis-use of the site (e.g. creating spam, etc.)
7.2.1.2 Abusive content added to your emails
7.3 Cancellation of the "Affiliate Agreement" can happen at any time, but is subject to the following:
7.3.1 A final invoice for all outstanding services will be submitted to you
7.3.2 You agree to pay the full amount within 2 (two) weeks of receipt of invoice
7.3.3 No further services will be provided to you until you re-join our site which you may do at any time if:
7.3.3.1 All outstanding fees from previous registrations were settled in a timely manner, and
7.3.3.2 Your application is approved by Ready to Send

8. Legal dispute
8.1 Should legal dispute arise, all items will be heard in the district of Johannesburg, South Africa
8.2 Both parties will abide by the rulings of the court

9. Liability
9.1 Each complaint will be heard as a separate item and will be judged by Ready to Send in a individual basis.
9.2 NOTE: Ready to Send's and its suppliers' entire liability and your exclusive remedy shall be, at Ready to Send's discretion, return of the latest monthly invoice price paid.
